Welcome to Zinnvy ("Zinnvy," "we," "our," or "us"), a multi-tenant inventory management software. These Terms and Conditions ("Terms") govern your use of the Zinnvy website and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Account Registration and Access

• **Eligibility:** You must be at least 18 years old to use the Service.
• **Account Security:** You are responsible for maintaining the confidentiality of your account credentials (including team member access) and for all activities that occur under your account.
• **Multi-Tenancy:** Zinnvy operates on a multi-tenant architecture, ensuring data isolation between different client accounts ("Tenants").

2. Subscriptions, Fees, and Payments

• **Subscription Plans:** Access to the Service is provided on a subscription basis (Basic, Pro, Custom). Features and usage limits (e.g., product count, sales volume, SMS pool) are defined by your chosen plan.
• **Overages:** Exceeding plan limits may result in service interruption or automatic upgrade, as defined in your specific Service Level Agreement (SLA).
• **Billing:** Subscriptions are billed in advance on a recurring monthly or annual basis. All fees are non-refundable.

3. Usage Restrictions and Data

• **Data Limits:** Usage, including sales volume, returns, customer counts, and product limits, must remain within the thresholds of your active plan.
• **API:** Custom API integration is restricted to Pro and Custom plans. Misuse or excessive calls may lead to suspension.
• **Content:** You are responsible for the accuracy and legality of all inventory, sales, and customer data uploaded to Zinnvy.

4. Intellectual Property

The Service, including its features, functionality (e.g., Predictive Insights, Token System), and original content, are and will remain the exclusive property of Zinnvy and its licensors. Your subscription grants you a non-exclusive, non-transferable right to use the Service.

5. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach the Terms, particularly concerning payment obligations or exceeding Custom Plan SLAs.

6. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Zinnvy makes no representations or warranties of any kind regarding the accuracy, reliability, or completeness of the predictive models or reports provided.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Insert Governing Jurisdiction], without regard to its conflict of law provisions.
